The agreement between you and Lantern Civic Solutions

These Terms of Service ("Terms") constitute a legally binding agreement between you and Lantern Civic Solutions ("Company," "we," "us," or "our") governing your access to and use of the ProcureTrail platform, including any associated websites, applications, and services (collectively, the "Service"). ProcureTrail is designed to help Massachusetts K-12 school districts document and manage procurement activities in compliance with MGL Chapter 30B.
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using ProcureTrail on behalf of a school district or other organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.
ProcureTrail is a web-based procurement management platform designed to assist Massachusetts K-12 school districts in documenting procurements under Massachusetts General Laws Chapter 30B. The Service provides tools for:
The Service is intended for use by Massachusetts public school districts and their authorized personnel. By using the Service, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to bind your district or organization to these Terms; (c) you are authorized by your district to access and use the Service; and (d) your use of the Service complies with all applicable laws and regulations.
To access the Service, you must create an account or be invited by a district administrator. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) immediately notify us of any unauthorized use of your account at security@lanterncivicsolutions.com; (b) ensure you log out from your account at the end of each session; and (c) not share your account credentials with any third party.
District administrators are responsible for managing user access within their district, including inviting users, assigning roles (Admin, Purchasing, Approver, Viewer), and removing access when appropriate. Administrators are responsible for ensuring that users within their district comply with these Terms.
You agree to use the Service only for its intended purpose: documenting and managing procurement activities for Massachusetts public entities. You agree not to:
Your data belongs to you. Lantern Civic Solutions does not claim any ownership rights over Customer Data.
As a public entity, your procurement records may be subject to Massachusetts public records law (MGL Chapter 66). ProcureTrail's export features are designed to facilitate compliance with public records requests.
The Service, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and design), is owned by Lantern Civic Solutions and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service during the term of your subscription, solely for the purpose of managing your organization's procurement activities in accordance with these Terms.
ProcureTrail is a procurement management tool designed to handle procurement workflows, vendor data, and financial documentation. It is not designed to collect, store, or process student personally identifiable information (PII) as defined by the Family Educational Rights and Privacy Act (FERPA).
Customers are responsible for ensuring that no student PII is uploaded to the platform. If student data is inadvertently uploaded, please notify us immediately at privacy@lanterncivicsolutions.com so we can assist with its prompt removal.
Important: ProcureTrail is a documentation tool designed to assist with Chapter 30B compliance, but it does not guarantee compliance with Massachusetts General Laws Chapter 30B or any other procurement laws or regulations.
Compliance ultimately depends on the decisions and actions of the procurement professionals using the tool. We recommend consulting with your district's legal counsel or the Office of the Inspector General for specific compliance questions.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Specifically:
You may cancel your subscription at any time. You will retain access to the Service through the end of your current billing period. District administrators may request account deletion by contacting us. Upon termination, you may export your data using the Service's built-in export features.
We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within 30 days of written notice. We may immediately terminate access in cases of fraud, security threats, or serious violations of the acceptable use policy.
Upon termination, you will have 90 days to export all of your data. After this period, we will delete all Customer Data from our systems, except where retention is required by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LANTERN CIVIC SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Lantern Civic Solutions and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including any intellectual property or privacy rights; or (d) any content you upload to the Service.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts.
For disputes involving amounts less than $10,000, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days before initiating any legal proceeding.
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by posting the updated Terms on this page and notifying account administrators by email. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription.
